Your trust matters to us. These Terms describe how our Services may be used and what you can expect from Revion.

1. Acceptance of Terms
By accessing or using the services provided by Revion Inc. ("Revion," "we," "our," or "us"), including our website, AI-powered voice agent platform, and any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms").
If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not access or use the Services.
2. Description of Services
Revion provides AI-powered voice agent services designed primarily for businesses in the automotive industry. Our Services may include:
- AI voice agents for handling customer calls, scheduling, and service inquiries
- Platform access for managing and configuring voice agent workflows
- Analytics dashboards and reporting tools
- Integration capabilities with dealership management systems and other third-party software
- Related support, documentation, and professional services
Certain Services may be provided pursuant to a separate subscription agreement, order form, or other written agreement between you and Revion. In the event of a conflict between these Terms and such an agreement, that agreement will control to the extent of the conflict.
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice, to the extent permitted by law.
3. AI Voice Communications and Call Recording
Revion provides AI-powered voice agents capable of autonomously interacting with third parties, including your customers and other end users, via telephone and other communication channels.
By using the Services, you acknowledge and agree that:
a. Autonomous Interactions
The Services may operate as autonomous agents that communicate with end users without human intervention. You are solely responsible for configuring, monitoring, and supervising the behavior of the AI agents.
b. Call Recording and Transcription
The Services may record and transcribe calls. You acknowledge and agree that you are solely responsible for:
- Providing any legally required notices to call participants
- Obtaining any necessary consents for call recording and data processing
- Complying with all applicable telecommunications, consumer protection, and privacy laws
Revion does not provide legal advice regarding consent requirements or regulatory compliance and disclaims liability arising from your failure to obtain proper consent or comply with applicable law.
c. Messaging and Disclosure
You are responsible for any messages, disclosures, or disclaimers communicated to end users, including whether and how to inform them that they are interacting with an AI system.
d. Data Retention
Unless otherwise agreed in writing, call recordings and transcripts may be retained for up to ninety (90) days. You may request deletion of such data in accordance with available platform functionality or any applicable written agreement.
4. Account Registration and Security
To access certain features of our Services, you may be required to create an account. When creating an account, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Keep your login credentials secure and confidential
- Notify us immediately of any unauthorized access to your account
- Accept responsibility for all activities that occur under your account
5. Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not:
- Use the Services in any way that violates applicable laws or regulations
- Use the Services to place unlawful, deceptive, fraudulent, or unsolicited communications, including spam or robocalls in violation of applicable law
- Attempt to gain unauthorized access to any part of the Services or related systems
- Interfere with or disrupt the integrity, security, or performance of the Services
- Use the Services to transmit harmful, fraudulent, misleading, or deceptive content
- Reverse engineer, decompile, or disassemble any aspect of the Services, except to the extent prohibited by law
- Resell, sublicense, or redistribute the Services without our prior written consent
6. Intellectual Property
The Services, including all software, content, designs, trademarks, and other materials, are owned by Revion or its licensors and are protected by intellectual property laws. Subject to these Terms, you are granted a limited, non-exclusive, non-transferable, non-sublicensable right to use the Services.
You retain ownership of any data you submit to the Services ("Your Data"). By submitting Your Data, you grant Revion a limited, non-exclusive license to use, process, transmit, store, and display such data solely for the purpose of:
- Providing the Services
- Maintaining and improving system performance
- Generating aggregated and anonymized analytics
Revion may use aggregated and anonymized data derived from Your Data for analytics, benchmarking, and service improvement. Revion does not use Your Data to train shared machine learning models in a way that identifies you or your end users.
7. Third-Party Services and Integrations
The Services may depend on or integrate with third-party services, including telephony providers, APIs, and external software systems.
Revion does not control and is not responsible for:
- The availability or performance of third-party services
- Any errors, delays, outages, or failures caused by such services
- The accuracy, completeness, or timeliness of third-party data
Any issues arising from third-party systems are the responsibility of the applicable provider.
8. Payment Terms
Fees for paid Services, if any, will be set forth in your subscription agreement, order form, or other written agreement with Revion. Unless otherwise stated in such agreement:
- Fees are non-refundable
- Late payment may result in suspension or termination of access to the Services
- You are responsible for any applicable taxes, duties, or similar governmental charges, excluding taxes based on Revion’s net income
9. Data and Privacy
Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect information.
You are responsible for ensuring that your use of the Services complies with all applicable data protection and privacy laws, including obtaining any necessary consents from individuals whose data may be processed through the Services.
To the extent Revion processes personal data on your behalf through the Services, you act as the data controller and Revion acts as the data processor, unless applicable law or a separate written agreement provides otherwise. You are responsible for ensuring that you have a valid legal basis for processing such data and for providing any required notices to individuals.
10. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Without limiting the foregoing, Revion does not warrant that the Services will be uninterrupted, error-free, secure, or available at all times.
While our AI voice agents are designed to handle customer interactions, you acknowledge and agree that:
- AI-generated outputs may be inaccurate, incomplete, delayed, or inappropriate
- The Services may take automated actions based on configured workflows
- Revion does not guarantee the correctness of any responses, decisions, or actions taken by the AI
- You are solely responsible for reviewing configurations and ensuring outputs meet your business, legal, and operational requirements
Revion shall not be responsible for:
- Missed, incorrect, delayed, or improperly scheduled appointments
- Miscommunications with end customers or other third parties
- Any business decisions or transactions made based on AI-generated outputs
Use of Third-Party and Real-Time Data
The Services may integrate with or access third-party systems and real-time data sources, including dealership management systems, inventory systems, and pricing tools. Revion does not guarantee:
- The accuracy, completeness, or timeliness of such data
- That such data will always be available or error-free
You acknowledge that any information communicated by the AI based on such data may be subject to error and should be independently verified where appropriate.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REVION SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF REVION HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REVION’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO REVION FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
12. Indemnification
You agree to indemnify, defend, and hold harmless Revion and its officers, directors, employees, agents, affiliates, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
- Your use of the Services
- Your violation of these Terms
- Your violation of any applicable law or the rights of any third party
- Your Data or any content, configuration, workflow, or communication submitted, created, or initiated through the Services
13. Termination
You may stop using the Services at any time.
We may suspend or terminate your access to the Services immediately, with or without notice, if:
- You breach any provision of these Terms
- Your use of the Services poses a security risk or may adversely affect Revion, the Services, or other users
- We are required to do so by law or regulatory authorities
- We suspect fraud, abuse, unlawful activity, or other legal risk
- Your account remains inactive for an extended period, where applicable
Upon termination, your right to use the Services will cease immediately. Sections that by their nature should survive termination will remain in effect, including Sections 6 through 12 and Sections 15 through 18.
14. Beta and Experimental Features
From time to time, Revion may offer features designated as beta, pilot, preview, or experimental.
Such features:
- May be incomplete, unstable, or unavailable
- Are provided "as is" without warranties of any kind
- May be modified, suspended, or discontinued at any time
Revion shall have no liability arising from or related to your use of beta or experimental features.
15. Force Majeure
Revion shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including internet or telecommunications failures, third-party service outages, natural disasters, labor disputes, war, terrorism, civil unrest, government actions, or interruptions in utilities or transportation.
16. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we may provide notice by posting the updated Terms on our website, sending you an email notification if you have an account, or providing notice through the Services.
Your continued use of the Services after the effective date of the updated Terms constitutes your acceptance of the updated Terms.
17. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.
Any dispute arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction and venue of those courts.
